End User License Agreement (EULA)

1. Agreement

This End User License Agreement ("EULA") is a legal agreement between Redsquid Productions ("Redsquid," "we," "us," or "our") and you ("you" or "Licensee") for the AudioSquidPatch macOS application, associated RedsquidHAL audio drivers, documentation, and updates we make available (collectively, the "Software").

By installing, copying, activating, or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.

If you accept on behalf of an organization, you represent that you have authority to bind that organization, and "you" means that organization.

Your purchase and use of our website and member area are also governed by our . Our describes what information the Software and license services collect. If there is a conflict between this EULA and the Terms of Use regarding the Software itself, this EULA controls.

2. Important notices

2.1 Desktop software — not a plugin

AudioSquidPatch is desktop audio routing software for macOS. It is not an AAX, AU, or VST plugin. It manages patchbay routing, mixer controls, virtual devices, talkback, and presets on your Mac.

2.2 Local audio processing

The Software processes audio locally on your Mac. Redsquid does not receive, store, or process your audio streams on our servers. License validation sends only entitlement-related data (see the Privacy Policy).

2.3 System-level components

Full functionality may require installing RedsquidHAL drivers to /Library/Audio/Plug-Ins/HAL/. This step requires macOS administrator credentials and affects system audio devices. You are responsible for understanding the impact on your system before installing drivers.

2.4 No professional advice

The Software is a tool for audio routing. We do not provide legal, broadcast, compliance, or IT security advice. You are responsible for how you use the Software in your workflow.

3. License grant

Subject to your compliance with this EULA and payment of applicable fees, Redsquid grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on Mac computers you own or control, up to the number of activated machines permitted by your tier.

Except for the rights expressly granted here, Redsquid and its licensors reserve all rights in the Software. The Software is licensed, not sold.

4. License tiers and entitlements

Your rights depend on the tier you purchase or activate. Tier names below match our storefront and license system.

4.1 Free Trial (trial)

  • Price: Free for 14 days; no credit card required.
  • Entitlement: Full features on one Mac for the trial period.
  • After the trial: Licensed features are disabled unless you purchase a Buy license. Trial use does not accrue ownership.

4.2 Buy (buy)

  • Price: $39.99 USD one-time.
  • Entitlement: Perpetual license for the number of Macs purchased (default: 1).
  • Billing: One-time payment; no recurring charges after purchase.

4.3 Extra Mac / studio pack (seat_addon)

  • Price: $29.99 USD per additional Mac seat added to your primary license (in addition to the full price of your primary tier for the first Mac).
  • Entitlement: Increases the maximum number of simultaneous Mac activations on your license.
  • Example (Buy, 3 Macs): $39.99 + $29.99 + $29.99 = $99.97 for 3 activations.

4.4 Discontinued plans

The Monthly (rent) and 12-Month Plan (rent_to_own) subscription tiers are no longer offered for new purchases. Existing licenses under those tiers remain governed by the terms in effect when they were purchased. New purchases are limited to the Free Trial, Buy, and Extra Mac tiers above.

Current pricing is shown on audiosquidpatch.com (and our Base44 staging site squid-patch-flow.base44.app until the custom domain is linked).

5. Activation, machine binding, and license keys

5.1 License keys

Paid tiers are delivered via a license key (for example, ASPATCH-XXXX-XXXX-XXXX) associated with your account. You must keep your key confidential.

5.2 Machine activation

The Software binds licenses to Mac computers using a hashed machine identifier generated on your device. Each activation counts toward your max_activations limit.

5.3 Validation and offline use

The Software may contact our license servers over HTTPS to validate entitlement. Validation may occur at launch, periodically (for subscription tiers), and when you use license-related features.

If validation fails because your entitlement ended (cancelled subscription or suspended installment plan), licensed features are disabled as described in Section 8.

5.4 Deactivation

You may deactivate a Mac through the member area (when available) or by contacting support@audiosquidpatch.com to free an activation slot.

6. Updates and upgrades

6.1 Updates (minor versions, bug fixes)

For owned licenses (buy and completed rent_to_own conversions), updates are included for one (1) year from the purchase date or conversion-to-owned date, measured by our updates_until field in your license record.

After year one, we may provide bugfix updates at our discretion or offer paid maintenance. Policy for years beyond the first will be posted before charges apply.

6.2 Major version upgrades

A major version (for example, v1.x to v2.0) may require a separate paid upgrade. Major-version rights are tracked separately (major_version_licensed). If you do not purchase the upgrade, you may continue using the last version you are licensed for, subject to availability.

6.3 Update delivery

Updates may be delivered through the member area download page and/or in-app Check for Updates (which reads a public version manifest). You are responsible for maintaining compatible macOS versions and backups before updating.

7. Installation, HAL drivers, and uninstallation

7.1 Application install

AudioSquidPatch installs as a standard macOS application. You are responsible for meeting minimum system requirements published on the Site.

7.2 HAL driver install (admin required)

Virtual audio devices may require installing RedsquidHAL drivers to the system HAL plug-ins folder. This operation:

  • Requires administrator password approval
  • Modifies system audio architecture
  • May require restart or re-selection of audio devices in macOS and other apps
  • Should be performed only on Macs you are authorized to modify

You assume risk for conflicts with other audio software, drivers, or corporate IT policies. We recommend testing on a non-production system when possible.

7.3 Uninstallation

You may quit and delete the application at any time. HAL drivers may remain until you remove them using in-app utilities or documented uninstall steps. Removing drivers does not by itself cancel a subscription or erase license history.

8. Feature gating when unlicensed

When your license is invalid, expired, suspended, or cancelled, the Software may:

  • Disable: patchbay routing activation, talkback, mixer route changes, and other paid features (a "soft gate")
  • Allow: license entry, help, check for updates, and links to the member area

HAL drivers may remain installed; routing logic in the application enforces licensing. You must not circumvent these controls.

9. Restrictions

Except as permitted by law or expressly authorized in writing by Redsquid, you may not:

  • Copy, distribute, rent, lease, lend, sell, sublicense, or transfer the Software or license keys
  • Circumvent activation or technical protection measures
  • Reverse engineer, decompile, or disassemble the Software except to the limited extent allowed by applicable law
  • Remove or alter proprietary notices
  • Use the Software to build a competing product or to violate third-party rights
  • Share one seat across multiple users in a way that exceeds purchased activations
  • Use the Software unlawfully or to harm networks, systems, or individuals

10. Ownership and intellectual property

Redsquid Productions and its licensors own the Software, RedsquidHAL drivers, trademarks (including AudioSquidPatch), and related materials. This EULA does not grant you any ownership interest.

Feedback you voluntarily provide may be used by us without obligation to you.

11. Third-party and open-source components

The Software may include third-party and open-source components. Notable components may include libASPL (or related ASPL/HAL framework code) licensed under the MIT License. Required attributions are provided in the Software's About box, documentation, or accompanying NOTICE file.

Third-party components are licensed under their own terms. To the extent those terms grant you rights that conflict with restrictions in this EULA, those third-party terms prevail for those components only.

12. Support

Support is provided on a commercially reasonable basis via support@audiosquidpatch.com and documentation on the Site. We do not guarantee response times unless stated in a separate written support agreement.

13. Privacy

Our explains how we handle account, purchase, and license-validation data. The Software does not upload your audio to Redsquid.

14. Refunds

Refund rules for purchases made through our Site are summarized in the . In brief:

  • Buy: Generally non-refundable once a license key is delivered or activated, except where required by law or where we agree a defect cannot be resolved.
  • Free Trial: No payment is collected, so no refund is applicable.
  • Discontinued subscription tiers: Refund rights for existing Monthly or 12-Month Plan licenses remain governed by the terms in effect when those plans were purchased.

Contact support@audiosquidpatch.com within 14 days of purchase if you believe the Software is materially defective.

15. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND DRIVERS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. REDSQUID DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, COMPATIBLE WITH EVERY AUDIO DEVICE OR DAW, OR FREE OF HARMFUL COMPONENTS. AUDIO ROUTING INVOLVES SYSTEM-LEVEL RISK — INCLUDING DROPOUTS, FEEDBACK, DEVICE CONFLICTS, OR DATA LOSS IN OTHER APPLICATIONS — AND YOU USE THE SOFTWARE AT YOUR OWN RISK.

Some jurisdictions do not allow exclusion of implied warranties; in those cases, implied warranties are limited to the shortest period permitted by law.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • REDSQUID PRODUCTIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR AUDIO PROJECTS, ARISING FROM OR RELATED TO THE SOFTWARE OR THIS EULA, EVEN IF ADVISED OF THE POSSIBILITY.
  • OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS EULA WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US $50.

These limitations apply whether claims are based on contract, tort, negligence, strict liability, or any other theory.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

17. Termination

17.1 By you

You may stop using the Software at any time. A Free Trial expires automatically at the end of the trial period. For discontinued subscription tiers (Monthly, 12-Month Plan), existing licenses remain governed by the terms in effect when purchased.

17.2 By us

We may suspend or terminate your license if you materially breach this EULA, engage in fraud or chargeback abuse, or if required by law. Upon termination, you must stop using the Software and destroy copies in your possession.

17.3 Effect of termination

Sections that by their nature should survive (ownership, restrictions, disclaimers, limitation of liability, governing law) survive termination.

Termination of a subscription or installment plan does not automatically remove HAL drivers from your Mac.

18. Export and compliance

You agree to comply with applicable export control and sanctions laws. You may not use or export the Software in violation of U.S. or local restrictions.

19. U.S. government end users

If the Software is acquired by or on behalf of the U.S. Government, it is provided as "Commercial Computer Software" and "Commercial Computer Software Documentation" with only those rights set forth in this EULA, per FAR 12.212 and DFARS 227.7202, as applicable.

20. Changes to this EULA

We may update this EULA from time to time. We will post the revised EULA on the Site with a new "Last updated" date. Material changes to subscription or licensing terms may be communicated by email or in-app notice.

Continued use of the Software after changes become effective constitutes acceptance, except where applicable law requires express consent for specific changes.

21. Governing law and disputes

This EULA is governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules, except where mandatory consumer protection laws in your country of residence apply.

Before filing a claim, you agree to contact support@audiosquidpatch.com and attempt to resolve the dispute informally for 30 days. If unresolved, disputes will be brought in the state or federal courts located in Florida, and you consent to personal jurisdiction there, unless applicable law requires otherwise.

22. General

  • Entire agreement: This EULA, the Terms of Use, and the Privacy Policy constitute the entire agreement regarding the Software (excluding separate written enterprise agreements).
  • Severability: If any provision is unenforceable, the remainder stays in effect.
  • No waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign this EULA without our consent. We may assign it in connection with a merger or sale.
  • Force majeure: We are not liable for delays caused by events beyond our reasonable control.
